1. Terms of use
Thank you for choosing Razor Delivery. The following provides the Terms of Service and Conditions (collectively, “Terms” or “Terms of Use” or “Terms of Service” or “Terms and Conditions”) applicable to the users of Razor Delivery (“Razor Deliver” or “Company”).

Terms of Service and the Privacy Policy (link) are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the Razor Delivery website at www.razordelivery.com (the “Website” or "Site") and any related mobile or software applications ("Razor Delivery App"), including but not limited to delivery of information via the website or application whether existing now or in the future that are linked or directly or indirectly associated with Razor Delivery (collectively, the "Services").

These Terms shall remain in force for all existing and future Razor Delivery users, including but not limited to Pharmacy users.

Please read these Terms carefully. By accessing and using the Razor Delivery Platform, you are agreeing to these Terms and entering into a legally binding contract with Razor Delivery Inc., and/or its subsidiaries, affiliates, successors, or assignees (hereinafter collectively referred to as "Razor Delivery"). You may discontinue your use of the Services if you do not accept the Terms or are unable to be bound by the Terms.

You must affirmatively accept the Terms by clicking “I Accept”, where it is made available to you by Razor Delivery in the user interface for any particular Service or are otherwise deemed to have confirmed your acceptance of the Terms through your continued use of the Services rendered.

IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND RAZOR DELIVERY THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY THE “DISPUTE RESOLUTION” SECTION BELOW FOR DETAILS REGARDING ARBITRATION.
2. Definitions

Authorized Uses
Customer
"Customer" or "You" or "Your" refers to you, as an end user of the listed Services by Registered Users (defined below) by accessing the Platform (defined below).

Intellectual Property Rights
“Intellectual Property Rights” means all intellectual property rights (whether registered or not) including, but not limited to, copyright (including copyright in computer software), patents, logos, trademarks or business names, design rights, database rights, know-how, trade secrets and rights of confidence in connection with the Platform, Services and/or Content.

Content
"Content" will include (but is not limited to) images, photos, audio, video, location data, nearby places, and all other forms of information or data. "Your content" or "Customer Content" means content that you upload, share or transmit to, through or in connection with the Services, such as location data, messages, profile information, and any other materials that you provided in your account profile. "Razor Delivery Content" means content that Razor Delivery creates and make available in connection with the Services including, but not limited to, visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, aggregate ratings, reports and other usage-related data in connection with activities associated with your account and all other elements and components of the Services excluding Your Content and Third Party Content. "Third Party Content" means content that comes from parties other than Razor Delivery or its Customers and is available on the Services.

Company
“Company” means Razor Delivery, Inc.

Delivery Agent
“Delivery Agent” refers to any authorized delivery agent registered on the Razor Delivery Application directed at Delivery Agents.

Platform
A "Platform" for pharmacies and delivery agents is an online application or website that provides a range of tools and features to enable pharmacies to schedule deliveries to their respective consumers and assign such delivery tasks to their delivery agents and enables delivery agents to complete such delivery tasks.

Pharmacy(s)
“Pharmacy” means a store with legal authorization to dispense prescription medication and other related products to their consumers.

Services
“Services” includes but is not limited to the use of our Platform to schedule delivery of prescription medication and other related products to Pharmacy consumers, assign such delivery tasks to delivery agents, obtain optimized delivery routes, track progress of such deliveries, confirm receipt of proof of delivery and collect co-payment and other fees.

Registered User or Pharmacy User
“Registered User” or “Pharmacy User” collectively mean authorized Pharmacy on the Razor Delivery Platform.

Third Party Vendor and Service Provider
A Third Party Vendor or Service Provider refers to an external entity or company that offers products, services, or solutions to another business or organization. These third-party entities are not part of the Razor Delivery’s internal operations but provide specific goods or services that complement or enhance the Razor Delivery's functions.

3. Eligibility to use
  1. You may use the Services only if you are eighteen (18) years or older, are capable of forming a binding contract to access and use the Services and/or register an account with Razor Delivery and are not barred from using the Services under any applicable law. By accessing or using the Platform and/or Services, Registered Users and Customers represent and accept that they are 18 or older and have the legal capacity and authority to legally enter into a contract as per any applicable relevant laws. If a corporate entity is accessing or using the Platform and/or Services, the person registering for an account with Razor Delivery to use the Services for and on behalf of an entity represents and warrants that they have the requisite power and authority to bind such corporate entity to the Terms and has the required authority to enter into a contract on behalf of the said entity.

  2. For transparency and fraud prevention purposes, and to the extent permitted by law, we reserve the right, but have no obligation, to (i) ask Registered Users to provide a form of government identification or other information or undertake additional checks designed to help verify the identity or background of Registered Users, and (ii) screen Registered Users against third party databases or other sources.

4. Conditions
  1. If You want to use any or all the features of the Services from Razor Delivery, you must register on the Website and create an account (“Account”) by providing the required Pharmacy details, including name, address, contact details and any other details as may be required. You shall ensure and confirm that the information provided by you is complete, accurate and up-to-date. If there are any changes you shall promptly update such information on the Platform via your Account. You will be responsible for maintaining the confidentiality of your Account and its information, and are fully responsible for all activities that occur therein. We may suspend or terminate your Account if you fail to provide accurate information or fail to update the Pharmacy information to ensure it is accurate, complete and up-to-date. Razor Delivery will not be liable for any loss or damage arising from your failure to comply with this provision and you may be held liable for any losses incurred by Razor Delivery and/or its Third Party Vendors and Service Providers as a consequence. In any event, we reserve the right, in our sole discretion, to approve or refuse registration of an Account by any person or entity.

  2. The Pharmacy User must ensure that their authorized Delivery Agent registers for an account on the Razor Delivery Application to avail itself of the optimized routes, location tracking, payment collection, and other applicable features. The Pharmacy User and its Delivery Agent are responsible for confirming that their Delivery Agent provided complete, accurate and up-to-date information. We may suspend or terminate the Delivery Agent’s Account if the Delivery Agent fails to provide accurate information or fail to update the the provided information to ensure it is accurate, complete and up-to-date.

  3. You hereby authorize Razor Delivery to collect, store, retain, process and use personal data, including your contact information provided to the Company in accordance with our Privacy Policy. You hereby permit the Company to contact you through any provided contact information, including but not limited to phone, SMS, WhatsApp, or e-mail, provided that all such communication shall be undertaken solely in relation to the Service and your personal data, and including that such contact information shall be kept confidential in accordance with the Privacy Policy. Razor Delivery may use your email to communicate with you regarding services, billing, and advertising. You understand that email communication has the risk of third-party interception and maybe transmitted to unintended parties. You expressly agree to hold Razor Delivery harmless (not liable) for any damages associated with the security breach of your email or erroneous transmission.

  4. By creating an account, you agree to receive certain communications in connection with Razor Delivery Platform or Services. You can choose to opt-out or manage your preferences regarding non-essential communications through account settings.

  5. If you are creating an account on the Razor Delivery Platform (including Website or Application), then you represent to us that you are the owner or authorized agent of such business. You shall not impersonate someone else, or create or use an account for anyone other than yourself, provide an email address other than your own, refrain from creating multiple accounts except as otherwise authorized explicitly in writing by the Company; or provide or use false information to create an account on the Razor Delivery Platform.

  6. Pharmacy User authorizes Razor Delivery to charge the applicable fees for the Services rendered as detailed on the Company Website. The applicable fees, reduced by any pertaining promotions and discounts, will be deducted from the final payment. Razor Delivery reserves the right to increase the pricing of its Services at any time in the future, subject to reasonable prior notice of at least 30 days to the email provided during Account Registration, in respect to any product, service or any other aspect of the Razor Delivery Platform.

  7. Pharmacy User and Delivery Agent expressly agree that their use of the Razor Delivery Platform is limited to Authorized Uses only.

  • Duty to Provide Information, Access, and Connectivity: You are responsible for providing and maintaining, at your own risk, option and expense, any appropriate software and hardware capabilities (consistent with any technical, quality or other requirements described in the Service) to enable use of the Service, including but not limited to, a computer or mobile device with a video camera and Internet access. You are solely responsible for any fees, including Internet connection or mobile fees, that you incur when accessing the Service. You also have a duty to provide truthful, accurate and complete information in any forms or other communications you submit to or through the Service. Razor Delivery reserves the right to change the access configuration, including any software, hardware or other requirements of the Service at any time without prior notice.

  • Establishing Authority of Access: Users are responsible for designating any other individuals who have the right or authority to access, use or administer their Accounts for and on their behalf (“Authorized Users”). Whilst Registered Users, Pharmacy Users, and Customers may permit such Authorized Users to access and use their Accounts (e.g. to schedule deliveries via their Accounts, update Users’ details, etc.), Registered Users, Pharmacy Users, and Customers registered with Razor Delivery shall remain fully and directly liable under the Terms for all acts and omissions of their Authorized Users, whether or not such Authorized Users have acted in accordance with the Registered Users’, Pharmacy Users’, and Customers’ instructions. Registered Users, Pharmacy Users, and Customers are solely responsible for maintaining the confidentiality of their password and other information relating to their Accounts, and any and all activities that occur under their Accounts. Registered Users, Pharmacy Users, and Customers agree to:

    1. Immediately notify Razor Delivery of any unauthorized use of their Accounts, password, or any other breach of security, and
    2. Ensure that Registered Users or Authorized Registered Users exit from their Accounts at the end of each session.
  • Data Storage: You acknowledge that we may establish general practices and limits concerning use of the Platform, including without limitation to the maximum period of time that data or other content will be retained by the Platform and the maximum storage space that will be allotted on our servers on your behalf. You agree that we have no responsibility or liability for the deletion or failure to store any data or other content maintained or transmitted by the Platform. You acknowledge that we reserve the right to terminate any Account that is inactive for an extended period of time with unpaid charges. You further acknowledge that we reserve the right to change these general practices and limits at any time, at our sole discretion, with or without notice.

  • Non-assignable: You may not assign or otherwise transfer your Account to any person without the prior written authorization by Razor Delivery.

  • Communications: By registering for an Account, you hereby expressly agree to receive communications by way of SMS and/or e-mails from Razor Delivery and other third parties relating to the products and/or services provided through the Platform. You can unsubscribe or opt-out from receiving communications through SMS and e-mail anytime by using the opt-out option provided in such communications or sending us an e-mail to opt-out at [email protected].

Restrictions on use
  1. Without limiting the generality of these Terms, in using the Services, you specifically agree not to engage in any activity that:

  2. a. Is in violation of our Terms, guidelines and policies;

    b. Is in violation of any applicable federal, state, or local laws, statutes, regulations, or Agency directives;

    c. Violates any third-party right, including, but not limited to, right of privacy, right of publicity, copyright, trademark, patent, trade secret, or any other intellectual property or proprietary rights;

    d. Attempts to impersonate another person or entity;

    e. Asserts or implies that Your Content is in any way sponsored or endorsed by us;

    f. Falsely states, misrepresents, or conceals your affiliation with another person or entity;

    g. Accesses or uses the account of a Pharmacy User or Delivery Agent without permission;

    h. Distributes computer viruses or other code, files, or programs that interrupt, destroy, or limit the functionality of any computer software or hardware or electronic communications equipment;

    i. Interferes with, disrupts, or destroys the functionality or use of any features of the Services or the servers or networks connected to the Services;

    j. "Hacks" or accesses without permission our proprietary or confidential records, records of another Customer, or those of anyone else;

    k. Violates any contract or fiduciary relationship, including disclosure of proprietary or confidential information of your employer or client in breach of any employment, consulting, or non-disclosure agreement;

    l. Decompiles, reverse engineers, disassembles or otherwise attempts to derive source code from the Services;

    m. Removes, circumvents, disables, damages or otherwise interferes with security-related features, or features that enforce limitations on use of, the Services;

    n. Violates the restrictions in any robot exclusion headers on the Services, if any, or bypasses or circumvents other measures employed to prevent or limit access to the Services;

    o. Collects, accesses, or stores personal information about other Customers, Pharmacy Users, or Delivery Agents of the Services;

    p. Harms minors in any way;

    q. Threatens the unity, integrity, defense, security or sovereignty of USA or of the country of use, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any other nation;

    r. Modifies, copies, scrapes or crawls, displays, publishes, licenses, sells, rents, leases, lends, transfers or otherwise commercialize any rights to the Services; or

    s. Attempts to do any of the foregoing.

  3. You acknowledge that the list of prohibited activities provided above is not exclusive and that this list may be revised at our sole discretion.

  4. You acknowledge that Razor Delivery has no obligation to monitor your – or anyone else's – access to or use of the Services for violations of the Terms. However, we have the right to do so for the purpose of operating and improving the Services (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes), to ensure your compliance with the Terms and with applicable laws or to comply with the order or requirement of legal process, a court, consent decree, administrative agency or other governmental body.

  5. You hereby agree and assure Razor Delivery that the Razor Delivery Platform/Services shall be used for lawful purposes only and that you will not violate laws, regulations, ordinances or other such requirements of any applicable Federal, State or local government or international law(s).

  • Your License to Razor delivery Content: We grant Customers, Pharmacy Users, and Delivery Agents a limited, non-exclusive and non-transferable license to access and use the Services only as expressly permitted in these Terms.

    1. You shall not use the Services for any illegal purpose or in any manner inconsistent with these Terms. You may use information made available through the Services solely to improve your Pharmacy prescription delivery management services.
    2. You agree not to use, copy, display, distribute, modify, broadcast, translate, reproduce, reformat, incorporate into advertisements and other works, sell, promote, create derivative works, or in any way exploit or allow others to exploit any of Razor Delivery Content in whole or in part.
    3. Except as otherwise expressly granted to you in writing, we do not grant you any other express or implied right or license to the Services or our Intellectual Property (IP) Rights.
    4. Any violation by you of the license provisions contained in this Section may result in the immediate termination of your right to use the Services, as well as potential liability for copyright and other IP Rights infringement depending on the circumstances.
Our Service
  • Razor Delivery provides an online service(s) platform for the purpose of listing their menu items or the Products and managing their own delivery operations with their own drivers. (As defined below) on the Razor Delivery Platform.

  • Razor Delivery by virtue of contractual arrangements on a principal-to-principal basis with Merchants for the purpose of listing their menu items or the Products (as defined below) on the Razor Delivery Platform.

  • Merchants and Third party vendors and service providers are responsible for their listings, products or services offered or supplied to Customers, and Razor Delivery is not be responsible for and does not provide any warranty or guarantee whatsoever with respect to (I) the quality, safety, suitability, or legality of any product or service of the Merchant, (ii) the truth or accuracy of any product or service descriptions of the Merchant, or (iii) the performance or conduct of Merchants, their employees, their delivery partners and any authorized and affiliated partner of the Merchant. Razor Delivery shall only be responsible to ensure that Customers and Merchants deal with each other in accordance with and within the parameters of the Terms.

  • You may be charged a delivery fee for delivery of your Order by the Delivery Partner or the Pharmacy store, as the Delivery Partner or the pharmacy Store may determine (“Delivery Charges"). You agree that Razor Delivery is authorized to collect, on behalf of the pharmacy partner or the Delivery Partner or the pharmacy Store, the Delivery Charges for the delivery service provided by the pharmacy Store or the Delivery Partner, as the case may be. The Delivery Charges may vary from Order to Order, which may be determined on multiple factors which shall include but not be limited to Pharmacy store, Order value, distance, time of the day. Razor Delivery will inform you of the Delivery Charges that may apply to you, provided you will be responsible for Delivery Charges incurred for your Order regardless of your awareness of such Delivery Charges.

  • In addition to the Delivery Charges, you may also be charged an amount towards Delivery surge for delivery of your Order facilitated by the Delivery Partner or the Pharmacy Store, which is determined on the basis of various factors including but not limited to distance covered, time taken, demand for delivery, real time analysis of traffic and weather conditions, seasonal peaks or such other parameters as may be determined from time to time (“Delivery Surge"). You agree that Razor Delivery is authorized to collect, on behalf of the Delivery Partner or the Pharmacy Store, the Delivery Surge for the delivery service provided by the Store or the Delivery Partner, as the case may be. The Delivery Surge may vary from Order to Order, which may be determined on multiple factors which shall include but not be limited to Pharmacy Store, Order value, distance, and demand during peak hours. Razor Delivery will use reasonable efforts to inform you of the Delivery Surge that may apply to you, provided you will be responsible for the Delivery Surge incurred for your Order regardless of your awareness of such Delivery Surge.

  • You acknowledge and agree that while Razor Delivery may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the Services, Razor Delivery may set such fixed upper limits at any time, at Razor Delivery's description for operational efficiency.

  • Razor Delivery may from time to time introduce referral and/or incentive based programs for its Customers (Program). These Program(s) may be governed by their respective terms and conditions. By participating in the Program, Customers are bound by the Program terms and conditions as well as the Razor Delivery Platform terms. Further, Razor Delivery reserves the right to terminate / suspend the Customer's account and/or credits / points earned and/or participation of the Customer in the Program if Razor Delivery comes to a decision in its sole discretion that the Customer has violated the rules of the Program and/or has been involved in activities that are in contravention of the Program terms and/or Razor Delivery Platform terms or has engaged in activities which are fraudulent / unlawful in nature, such Customer's account shall be summarily canceled. Furthermore, Razor Delivery reserves the right to modify, cancel and discontinue its Program without notice to the Customer.

  • Razor Delivery shall not and is not required to mediate or resolve any dispute or disagreement between Customers and Merchants. All products and services on the Platform may be subject to additional terms and conditions imposed by the Third Party Vendors and Service Providers, which Customers are presumed to have read and accepted at the time of placing the Order or before engaging the relevant Merchants and Third Party Vendors and Service Providers.

  • Razor Delivery reserves the right to modify, suspend, or terminate the Razor Delivery services at any time without prior notice. We shall not be liable for any losses or damages resulting from such modifications, suspensions, or terminations.

Online Ordering with Merchants:
  1. All prices listed on the Razor Delivery Platform are provided by Pharmacy partners at the time of publication on the Razor Delivery Platform and have been placed as received from the Pharmacy partner. While we take great care to keep them up to date, the final price charged to you by the Pharmacy partner may change at the time of delivery. In the event of a conflict between price on the Razor Delivery Platform and price charged by the Pharmacy Partner, the price charged by them shall be deemed to be the correct price except Delivery Charge of Razor Delivery.

  2. Pickup/Takeaway: When You opt for a Pickup/Takeaway (as defined below) You agree to be solely liable to ensure compliance with the conditions governing the Takeaway and Pick up at the time of placing the Order, and Razor Delivery shall not be liable in any manner in this regard. For the purpose of clarity, Pickup (in USA)/Takeaway (in all other jurisdictions) would mean where pharmacy stores have agreed to provide an option to the Customers to collect the Order and prescriptions themselves from the Pharmacy partner on which such an Order is placed. Razor Delivery accepts no liability associated with any mistake in rendering prescription medicines or any other pharmacy store related Orders.

  3. On Time or Free: The applicability of this offer is solely on the Pharmacy store partner.

General Obligations and Restrictions
  1. For the Customers in USA, it is hereby clarified by Razor Delivery that the liability of any violation of the applicable rules and regulations made thereunder shall solely rest with the sellers/brand owners, vendors, Pharmacy store(s), importers or manufacturers of the food products, products or any prepacked goods accordingly. All pre-packed goods shall mean the food, medicines, pharmaceutical products and beverages o other items which is placed in a package of any nature, in such a manner that the contents cannot be changed without tampering it and which is ready for sale to the customer or as may be defined under the Food Safety and Standards Act, 2006 from time to time.

  2. Merchants shall solely be responsible for providing and maintaining at your own risk, option and expense, appropriate software and hardware capabilities (consistent with any technical, quality or other requirements described in the Service), including but not limited to, a computer or mobile device with a video camera and Internet access to enable the use of and to transact on the Platform. The Merchants are solely responsible for any fees, including Internet connection or mobile fees, that you incur when accessing the Service. The Merchants also have a duty to provide truthful, accurate and complete information in any forms or other communications you submit to or through the Service. Razor Delivery reserve the right to change the access configuration, including any software, hardware or other requirements of the Service at any time without prior notice

  3. Subject to full compliance with the Terms, Razor Delivery grants you a non-exclusive, limited privilege to access and use the Platform or Services (including purchasing products and availing services). You agree to use the Platform for legitimate purposes, in accordance with the Terms and any applicable law, regulation or generally accepted practices or guidelines regarding the use of the Platform and/or Services, including your online conduct.

  4. In using the Platform and/or Services, you agree to not engage in activities that may adversely affect the use of the Platform by the Razor Delivery and/or other Users. Further, you agree not to host, display, upload, modify, publish, send, share or update any information (I) which does not belong to you or you do not have the right to host, display, upload, modify, publish, send, share or update, (ii) that is offensive, obscene, disparaging, defamatory, abusive, harassing, threatening, harms minors in any way, infringes the intellectual property rights or otherwise violative of any law, the legal rights of others or is otherwise unlawful or objectionable in any manner, (iii) deceives or misleads the addressee regarding origin of such message, (iv) impersonates anyone, (v) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource, or (vi) threatens the unity, integrity, defense, security or sovereignty of USA, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any other nation. You shall not reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Platform.

  5. To the extent where the Platform allows you to post, upload, transmit or make available any Merchant’s Content, you shall be responsible for such Merchants’ Content and agree that (I) you will ensure that such Merchant’s content is not offensive and is in accordance with applicable laws, (ii) although all intellectual property rights subsisting in any Merchant Content will be owned by the Merchant or your licensors, you hereby grant Razor Delivery and its subsidiaries and affiliates a non-exclusive, perpetual, royalty-free, worldwide, transferrable and sub-licensable right to use, reproduce both electronically and otherwise, display, distribute, modify, adapt, publish, translate, and create derivative works from any and all such Merchant’s content (excluding personally identifiable information) including for the purposes of advertising and marketing the Platform or Services, and (iii) we are under no obligation to store, retain, publish or make available any Merchant content uploaded by you and that you shall be responsible for creating backups of any such Merchant’s content if necessary.

  6. You acknowledge that a false claim by you may expose Razor Delivery or third parties to damages, liabilities and other losses for which you may be held liable and accountable and open to legal recourse. Therefore, you agree to defend, indemnify and hold Razor Delivery harmless. In defense of Razor Delivery, you agree that Razor Delivery will have a right to select a legal counsel of its choice and you shall be responsible for all such legal fees and costs.

  7. We cannot guarantee the identity of any other Merchant with whom you may interact with in the course of using the Merchant’s listing on the Platform. We also cannot guarantee the authenticity and accuracy of any Merchant’s consent which other Users or Third Party Vendors and Service Providers may provide. All Merchant’s Content accessed by you using the Platform is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.

  8. Under no circumstances shall Razor Delivery be liable in any way for any Content displayed on the Platform, including but not limited to any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with the use of or exposure to any content posted, emailed, accessed, transmitted, or otherwise made available via the Platform.

Delivery of your Order
If no one is present at the Customer(s) delivery address at the time of the delivery to receive Your Order, the Delivery Partner may leave your Order at your door or other secure location in accordance with the general guidelines issued by the delivery services, if the courier believes it is reasonable to do so.
Feedback to Razor Delivery
Your opinion matters to us! We welcome feedback, comments and suggestions for improvements to the Services (“Feedback”). You can submit Feedback by emailing us at. If you provide us any Feedback, you agree that we may use the Feedback you provide to us in any way, including in future modifications to the Services or in other services we may provide. You hereby grant to Razor Delivery a perpetual, worldwide, irrevocable, fully-paid, royalty-free, sub-licensable and transferable license to use, copy, modify, distribute, display, create derivative works of and otherwise exploit the Feedback for any purpose.
Updates, Modifications and Availability
We, Razor Delivery, the software, or the software application store that makes the software available for download may include functionality to automatically check for updates or upgrades to the software. Unless your device, its settings, or computer software does not permit transmission or use of upgrades or updates, you agree that we, or the applicable software or software application store, may provide notice to you of the availability of such upgrades or updates and automatically push such upgrade or update to your device or computer from time-to-time. You may be required to install certain upgrades or updates to the software in order to continue to access or use the Services, or portions thereof (including upgrades or updates designed to correct issues with the Services). Any updates or upgrades provided to you by us under the Terms shall be considered part of the Services. Razor Delivery recommends you to use an updated phone and phone running IOS 13 or above and android 10 and above for optimum performance.

We may change, modify, add, and/or delete all or portions of these Terms from time to time. If we do so, we’ll let you know either by posting the modified Terms on the web application or through other communications to you. It’s important that you review the modified Terms, because your continued use of the Services after we’ve let you know that the Terms have been modified indicates and constitutes your acceptance of the modified Terms. If you don’t want to be bound by the modified Terms, your only recourse is to discontinue use the Services. We’re always striving to improve the Services and, because our Services are evolving over time, we may change or discontinue all or any part of the Services. These changes may happen at any time and without notice.
Third Party Resources/Health-Related Content
  1. The health-related content you may find in the Services (“Health-related Content”) is broad in nature and in scope, describes only general principles of health care, and is neither specific instructions for individual patients nor appropriate or relevant to your personal situation. Health-related Content is not intended to be used to diagnose, treat, cure or prevent diseases or as a self-medication guide or substitute for consulting with your health professional or pharmacist.
  2. Some of the content available through the Services may include or link to materials that belong to third parties, such as third-party reservation services or online delivery/ordering. Please note that your use of such third-party services will be governed by the terms of service and privacy policy applicable to the corresponding third party. We may obtain business addresses, phone numbers, and other contact information from third-party vendors who obtain their data from public sources.
  3. We have no control over, and do not represent or endorse, the accuracy, relevancy, copyright compliance, legality, completeness, timeliness, or quality of any product, services, advertisements, and other content appearing in or linked to from the Services. We do not screen or investigate third-party material before or after including it on our Services.
  4. We reserve the right, at our sole discretion and without any obligation, to make improvements to, or correct any errors or omissions in, any portion of the content accessible on the Services. Where appropriate, we may, at our sole discretion and without any obligation, verify any updates, modifications, or changes to any content accessible on the Services, but shall not be liable for any delay or inaccuracies related to such updates. You acknowledge and agree that Razor Delivery is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products, or other materials on or available from such websites or resources.
  5. Third-party content, including content posted by our Customers, does not reflect our views or those of our parent, subsidiary, affiliate companies, branches, employees, officers, directors, or shareholders. In addition, none of the content available through the Services is endorsed or certified by the providers or licensors of such third-party content. We assume no responsibility or liability for any of Your Content or any third-party content.
  6. You further acknowledge and agree that Razor Delivery is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy, or existence of any advertising, products, or other materials on, or available from, such websites or resources. Without limiting the generality of the foregoing, we expressly disclaim any liability for any offensive, defamatory, illegal, invasive, unfair, or infringing content provided by third parties.
Privacy Policy
Please refer to our Privacy Policy for information on how we collect, use and disclose information from our users. By using our Services, you agree to this Privacy Policy. We verify that each Pharmacy that we work with is a licensed pharmacy and we enter into a Business Associate Agreement with each such Pharmacy to protect your personal information.
Disclaimer of Liabilities
1.a. Product Quality, Delay, Driver Insurance, and Accidents Disclaimer:
1.a.i. Razor Delivery does not manufacture, produce, or control the quality, safety, or condition of the products being delivered through the Razor Delivery platform. The restaurant owners and pharmacies are solely responsible for the quality, safety, accuracy, and suitability of the products they offer for delivery. Razor Delivery disclaims all warranties and liabilities associated with any food product offered under Razor Delivery platform. Razor Delivery also disclaims all warranties and liabilities associated with the beverages offered by the restaurant partners and/or the store(s).
1.a.ii. Any issues or concerns regarding product quality, freshness, accuracy, suitability, or condition should be directed to the restaurant owners or pharmacy owners. Razor Delivery shall not be held liable for any damages, losses, injuries, or disputes arising from the quality or condition of the products.
1.a.iii. We make every effort to ensure that the Razor Delivery platform functions smoothly and reliably. However, we do not guarantee the timeliness or accuracy of the deliveries. Factors such as traffic conditions, weather conditions, unforeseen circumstances, or logistical issues may cause delays in delivery, and we shall not be held liable for any resulting consequences.
1.a.iv. The restaurant owners and pharmacies are solely responsible for ensuring that their drivers have appropriate insurance coverage, including vehicle insurance and any other insurance required by applicable laws and regulations. We do not provide any insurance coverage for the drivers using the Razor Delivery platform.
1.a.v. We shall not be held liable for any accidents, damages, losses, injuries, or disputes arising from the use of the Razor Delivery platform or related delivery activities. Such incidents, including accidents involving drivers and any third party, the sole responsibility for the liability of the incident is on the restaurant owners, pharmacies, and their drivers. The restaurant owners and pharmacies should ensure that their drivers comply with all applicable laws, regulations, and industry standards regarding driving, delivery, and public safety.
1.a.vi. Any damage to devices due to the usage of the Razor Delivery app will not hold Razor Delivery liable for such damage or loss arising out of such damage. Please be certain that the device is relatively new and operates in updated iOS or Android version.
1.a.vii. Any disputes or claims arising from accidents involving drivers or other delivery-related incidents shall be resolved solely between the affected parties, and Razor Delivery shall not be a party to such disputes or claims.
1.a.viii. We reserve the right to modify, suspend, or terminate the Razor Delivery services at any time without prior notice. We shall not be liable for any losses or damages resulting from such modifications, suspensions, or terminations.
1.a.ix. This disclaimer shall apply to the fullest extent permitted by law, and any provisions that conflict with or are inconsistent with this disclaimer are hereby waived.

1.a.x. Delivery Address Accuracy: We strive to ensure accurate delivery addresses, but we cannot be held liable for incorrect or incomplete addresses provided by customers. It is the responsibility of the customer to provide accurate delivery information at the time of purchase.

1.a.xi. Delivery Agent Actions: While we carefully select our delivery agents, we cannot be held liable for any actions or errors committed by them, including delivering to the wrong address or mishandling items. We will, however, make every effort to resolve any issues that arise as a result of delivery agent actions.

1.a.xii. Cash Collection from Delivery Agent: Any cash collected by delivery agents on behalf of the store is done so at the store's risk. We do not assume liability for any discrepancies or losses related to cash transactions between the delivery agent and the store.

1.a.xiii. Price Changes: Prices listed at the time of purchase are subject to change without prior notice, especially if market conditions fluctuate. We reserve the right to adjust prices to reflect current market values, and we cannot be held liable for any discrepancies or misunderstandings resulting from price changes.

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICES, AND ANY CONTACT YOU HAVE WITH PHARMACIES, WHETHER IN PERSON OR ONLINE, REMAINS WITH YOU.

IN NO EVENT SHALL RAZOR DELIVERY NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, PROVIDING OR DELIVERING THE SERVICES, INCLUDING WITHOUT LIMITATION ANY HEALTH-RELATED CONTENT, BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, OR FROM ANY COMMUNICATIONS OR INTERACTIONS WITH ANY PHARMACIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT RAZOR DELIVERY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. THIS LIMITATION OF LIABILITY APPLIES TO, BUT IS NOT LIMITED TO, THE TRANSMISSION OF ANY DISABLING DEVICE OR VIRUSES WHICH MAY INFECT YOUR EQUIPMENT OR SYSTEM, UNAUTHORIZED ACCESS, THEFT, BODILY INJURY, PROPERTY DAMAGE, OPERATOR STRIKES OR OTHER LABOR PROBLEMS OR ANY FORCE MAJEURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
Indemnification and Limitation of Liability
  1. You will indemnify, defend and hold Razor Delivery and its officers, directors, employee and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (I) your access to or use of the Services, or (ii) any misrepresentation with respect to the data or information provided by you, (iii) your violation of the Terms, violation of any rights of another, including any intellectual property rights these Terms.
  2. IN NO EVENT WILL RAZOR DELIVERY’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, FROM THE USE OF OR INABILITY TO USE THE SERVICES, INCLUDING WITHOUT LIMITATION ANY HEALTH-RELATED CONTENT, OR FROM ANY COMMUNICATIONS OR INTERACTIONS WITH ANY PHARMACIES, EXCEED THE AMOUNTS YOU HAVE PAID TO Razor Delivery FOR USE OF THE SERVICES OR ONE HUNDRED DOLLARS ($100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS UNDER THESE TERMS, AS APPLICABLE. Razor Delivery AND ITS AUTHORIZED AGENTS AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY LOSS OR INJURY ARISING OUT OF OR RESULTING, IN WHOLE OR IN PART, FROM THEIR ACTS OR OMISSIONS, INCLUDING WITHOUT LIMITATION IN PROCURING, COMPILING OR DELIVERING ANY MEDICATIONS (OR ANY RELATED INFORMATION) TO YOU. THE DISCLAIMER, EXCLUSIONS AND LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN RAZOR DELIVERY AND YOU.
  3. In no event shall Razor Delivery, its officers, directors, consultants, agents and employees, be liable to you or any third party for any direct, special, incidental, indirect, consequential or punitive damages whatsoever, arising out of or in connection with your use of or access to the Platform, Services and/or products and service purchased on or through the Platform. Further, Razor Delivery shall not be liable for any products, services, acts or omissions of Third Party Vendors and Service Providers. However, nothing in the Terms shall limit or exclude (a) any other liability that cannot be excluded by law, or (b) your statutory rights. Regarding the possibilities for liabilities:
  4. Damaged or Lost Items: If any/all items from your order are damaged or lost during the delivery process, the liability could fall on either the delivery agent or the store, depending on the circumstances and the terms of the agreement between the parties.
  5. Customer Dissatisfaction: If customers receive the wrong item or experience any other issue with their delivery, they may hold the store exclusively liable for its compensation or replacement.
  6. Legal Compliance: Liability could also arise from failure to comply with local laws and regulations regarding delivery services, such as data protection laws or regulations governing the transportation of certain goods.
  7. Contractual Obligations: If there are specific contractual obligations between the store and the delivery agent, failure to fulfill these obligations could result in liability for breach of contract.
  8. Reputation Damage: Any negative consequences to the store's reputation resulting from delivery errors or mishaps could also be considered a form of liability, albeit less tangible.
Term, Violation, Suspension and Termination
The agreement between Razor Delivery and each Merchant and Registered User under the Terms shall take effect upon the earlier of (I) the User’s commencement of the use of the Platform and/or Services, or (ii) registration of an Account, or (iii) execution of a written agreement with Razor Delivery in respect of the use of the Services, and will remain in full force and effect for as long as relevant Merchant and/or Registered user continue to use the Platform and/or Services. The terms will continue to apply until terminated by either you or Razor Delivery. If you object to the Terms or are dissatisfied with the Platform or Services, your only recourse is to close your Account on the Platform and/or stop accessing or using the Platform or Services.

We may terminate your access to and use of the Services or deactivate or cancel your Account, at our sole discretion with or without notice, temporarily or permanently, for any reason or no reason, and without liability to you. You may cancel your Account at any time by sending an email to us at [email protected]. Upon any termination, discontinuation or cancellation of Services or your Account, all provisions of these Terms which by their nature should survive will survive, including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions. Upon any termination, discontinuation or cancellation of the Services or your Account by you or us, you will continue to be obligated to pay all amounts owing under these Terms which are due and payable prior to such termination, discontinuation or cancellation.

Any suspected fraudulent, abusive or illegal activity that may be grounds for such suspension, discontinuance or termination may be referred to the appropriate law enforcement authorities. (More comprehensive and detailed, cover all classes of drugs)

You agree that any violation by you of the Terms may cause irreparable harm to Razor Delivery for which monetary damages would be inadequate, and you consent to Razor Delivery obtaining any injunctive or equitable relief that it deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies that Razor Delivery may have at law or in equity. If Razor Delivery takes any legal action against you, they will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief that may be granted.

Upon termination of the agreement with a Merchant and/or Registered User pursuant to the Terms, the Merchant and/or Registered User access and use rights to the Platform and/or Services and other rights hereunder shall terminate. Save for any obligations which are expressed to survive, each Party’s further rights and obligations shall cease immediately, provided that such termination shall not affect a Party’s accrued rights and obligations as at the date of such termination.

Notwithstanding the suspension or termination of your Account, you shall remain liable to fulfil all transactions and pay for such transactions that you have already committed to prior to suspension of termination of your Account subject to the applicable terms and conditions governing such transactions (e.g. the terms and conditions agreed between you and Third Party Vendors and Service Providers).
Anti-Discrimination Policy
Razor Delivery is committed to providing a community environment between Merchants and Registered users that is free from harassment. Harassment based upon an individual's sex, race, ethnicity, national origin, age, religion or any other legally protected characteristics will not be tolerated. All Users, including end-users and Third Party Vendors and Service Providers, and our employees or agents, are expected and required to abide by this policy. A violation of this provision will result in immediate termination of your Account and access to or use of the Platform and/or Services.
Report IP Infringement
Razor Delivery shall not be liable for any infringement of copyright arising out of materials posted on or transmitted through the Razor Delivery Platform, or items advertised on the Razor Delivery Platform, by end users or any other third parties. We respect the intellectual property rights of others and require those that use the Services to do the same. We may, in appropriate circumstances and at our discretion, remove or disable access to material on the Services that infringes upon the copyright rights of others. We also may, in our discretion, remove or disable links or references to an online location that contains infringing material or infringing activity. In the event that any Customers of the Services repeatedly infringe on others' copyrights, we may in our sole discretion terminate those individuals' rights to use the Services If you believe that your copyright has been or is being infringed upon by material found in the Services, you are required to follow the below procedure to file a notification:

  1. Identify in writing the copyrighted material that you claim has been infringed upon;Identify in writing the material on the Services that you allege is infringing upon copyrighted material, and provide sufficient information that reasonably identifies the location of the alleged infringing material (for example, the user name of the alleged infringer and the business listing it is posted under);
  2. Include the following statement: "I have a good faith belief that the use of the content on the Services as described above is not authorized by the copyright owner, its agent, or law";
  3. Include the following statement: "I swear under penalty of perjury that the information in my notice is accurate and I am the copyright owner or I am authorized to act on the copyright owner's behalf";
  4. Provide your contact information including your address, telephone number, and e-mail address (if available);
  5. Provide your physical or electronic signature;
  6. Send us a written communication to [email protected]
  7. You may be subject to liability if you knowingly make any misrepresentations on a take-down notice.
ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
CALIFORNIA USERS AND RESIDENTS

Governing Law and Dispute Resolution
Irrespective of the country/state from which Merchants and Registered access or use the Platform and/or Services, to the extent permitted by law, the Terms shall be governed in accordance with the laws of Delaware without regard to choice or conflicts of law principles, and all Merchants and Registered users hereby agree to submit to the exclusive jurisdiction of the courts of Delaware to resolve any claims or disputes which may arise in connection with the Terms.

ARBITRATION NOTICE: UNLESS YOU OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS BY FOLLOWING THE OPT-OUT PROCEDURE SPECIFIED IN THE AGREEMENT TO ARBITRATE BELOW, AND EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED BELOW, YOU AGREE THAT ANY DISPUTES BETWEEN YOU AND Razor Delivery WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND THAT YOU ARE HEREBY WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

You and Razor Delivery agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, “Disputes”) will be settled by binding arbitration, except that each party retains the right: (I) to bring an individual action in small claims court and (ii) to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights (the action described in the foregoing clause (ii), an “IP Protection Action”). Without limiting the preceding sentence, you will also have the right to litigate any other Dispute if you provide Razor Delivery with written notice of your desire to do so by email or regular mail at (within thirty (30) days following the date you first accept these Terms (such notice, an “Arbitration Opt-out Notice”). If you don’t provide razor delivery with an Arbitration Opt-out Notice within the thirty (30) day period, you will be deemed to have knowingly and intentionally waived your right to litigate any Dispute except as expressly set forth in clauses (I) and (ii) above. The exclusive jurisdiction and venue of any IP Protection Action or, if you timely provide Razor Delivery with an Arbitration Opt-out Notice, will be the state and federal courts located in the Northern District of California and each of the parties hereto waives any objection to jurisdiction and venue in such courts. Unless you timely provide razor delivery with an Arbitration Opt-out Notice, you acknowledge and agree that you and Razor Delivery are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and razor delivery otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding. If this specific paragraph is held unenforceable, then the entirety of this “Dispute Resolution” section will be deemed void. Except as provided in the preceding sentence, this “Dispute Resolution” section will survive any termination of these Terms. The preceding sentence, this “Dispute Resolution” section will survive any termination of these Terms.

You agree that any claim you may have arising out of, or related to your use of our Services must be filed within one (1) year after such claim arose; otherwise, your claim is permanently barred.

Arbitration Rules
The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) then in effect, except as modified by this “Dispute Resolution” section. (The AAA Rules are available at www.adr.org or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this Section.
